    Welcome to LuckyOne Global LLC (“LuckyOne Global,” “we,” “our,” “us”). By accessing or using our website, services, products, programs, memberships, or community platforms (collectively, the “Services”), you (“you,” “your,” “User,” “Member”) agree to be bound by the following Terms of Service (“Terms”). Please read them carefully.

    If you do not agree to these Terms, do not access or use our Services. Your continued use of our Services constitutes your acceptance of these Terms as they may be updated from time to time.

    1. Purpose
    LuckyOne Global LLC is dedicated to promoting healthy living, holistic wellness, and ethical collaboration across our business sectors, including Health & Beauty, Fashion & Style, Culture & Culinary, Hospitality & Events, and Technology & Media. These Terms exist to protect our community, members, customers, partners, brand, and mission of integrity, transparency, and shared success.

    2. Eligibility
    By using our Services, you represent and warrant that you are:

    At least 18 years old, or the age of legal majority in your jurisdiction
    Legally able to form a binding contract
    Not previously suspended or removed from our Services
    Using our Services for lawful purposes only
    If you are accessing our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

    3. Membership Tiers and Participation
    LuckyOne Global offers multiple membership pathways. By enrolling in any membership tier, you agree to the specific terms associated with that tier in addition to these general Terms of Service.

    3.1 USANA LuckyOne Global Member
    Available at no additional cost to individuals who maintain an active USANA monthly membership or affiliate status in good standing. Membership in this tier is contingent upon continued monthly active USANA status. Loss of active USANA membership or affiliate status will result in automatic suspension from this tier until status is restored.

    3.2 Paid Member
    Available to individuals who wish to participate in the LuckyOne Global community without a USANA membership. Paid memberships are billed annually and are non-refundable except as required by applicable law. Membership fees, benefits, and terms are as published at the time of enrollment and may be updated for future renewal periods with reasonable notice.

    3.3 Service Exchange Member
    Available to qualifying individuals who contribute professional skills, time, and expertise in exchange for membership. Service Exchange Members must be active USANA members or affiliates in good standing and are subject to a mandatory 30-day evaluation period. Full terms of the Service Exchange Program are outlined in a separate agreement, which is incorporated by reference into these Terms. LuckyOne Global reserves the right to terminate a Service Exchange Member’s participation at any time during the evaluation period without further obligation.

    4. Use of Our Services
    You agree to use our Services responsibly, ethically, and in alignment with our values. You shall not:

    Engage in any unlawful, fraudulent, or harmful behavior
    Misuse, reproduce, distribute, or exploit our content, brand, or materials without written authorization
    Attempt to disrupt, hack, reverse-engineer, or interfere with our platform, systems, or business operations
    Misrepresent your affiliation with LuckyOne Global or make unauthorized promises or commitments on our behalf
    Use our Services to promote competing products, services, or organizations without prior written approval
    Harass, defame, or engage in abusive conduct toward other members, partners, or staff
    We reserve the right to restrict, suspend, or permanently terminate access if these terms are violated, with or without prior notice.

    5. User Content and Brand Representation
    By submitting, posting, or sharing any content through or in connection with our Services (including social media posts, testimonials, photos, videos, or other materials), you grant LuckyOne Global LLC a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, display, and distribute such content for promotional, marketing, and operational purposes.

    You represent and warrant that any content you provide is your original work or that you have the necessary rights and permissions to share it, and that such content does not violate any third-party rights, including intellectual property, privacy, or publicity rights.

    Members who represent or promote LuckyOne Global in any capacity (including as brand ambassadors, social media contributors, or event representatives) must do so in a manner consistent with our brand guidelines, values, and mission. Unauthorized or misleading representation of LuckyOne Global may result in immediate termination of membership and potential legal action.

    6. Wellness and Lifestyle Disclaimer
    LuckyOne Global promotes health, wellness, and positive lifestyle practices. However:

    We do not offer medical, psychological, nutritional, or professional healthcare advice
    Our content, programs, and events are educational and motivational only
    You should consult qualified professionals before making medical, health, dietary, or fitness decisions
    Individual results from wellness programs, products, or practices may vary
    We make no guarantees regarding health outcomes, weight loss, physical performance, or any other result
    By participating in any wellness-related Service, you acknowledge that you are solely responsible for your own health decisions and outcomes.

    7. Assumption of Risk
    Participation in LuckyOne Global events, activities, programs, and services (whether in person, online, or hybrid) involves inherent risks, including but not limited to physical injury, illness, property damage, or emotional distress.

    By participating, you voluntarily assume all such risks and agree that LuckyOne Global LLC, its officers, directors, employees, agents, partners, and affiliates shall not be held liable for any injury, loss, damage, or claim arising from or related to your participation, except to the extent caused by our gross negligence or willful misconduct.

    8. Health and Ethical Commitments
    All users, members, and partners agree to:

    Promote healthy living, wellness, and positive community values
    Avoid illegal drugs, harmful practices, or unethical conduct
    Maintain integrity, honesty, and professionalism in all communications and interactions
    Respect the diversity, privacy, and dignity of all community members
    Any conduct that violates these principles may result in immediate termination of access, membership, or partnership, without refund.

    9. Transparency and Business Integrity
    LuckyOne Global LLC operates with full transparency and ethical standards. All users and partners agree to the following:

    No unauthorized deals, side agreements, or arrangements may be made on behalf of or related to LuckyOne Global
    No misuse of funds, confidential information, trade secrets, or company resources
    Any conflicts of interest must be openly and promptly disclosed in writing
    Members shall not engage in activities that compete with or undermine LuckyOne Global’s business interests without prior written consent
    Violation of these standards may result in removal from partnerships, termination of membership, and potential legal action, including claims for damages.

    10. Intellectual Property
    All content on this site and within our Services — including but not limited to text, graphics, videos, images, logos, trademarks, branding, course materials, and program designs — is owned by LuckyOne Global LLC or licensed to us and is protected by applicable intellectual property laws.

    You may not:

    Reproduce, distribute, modify, or create derivative works from our materials without prior written consent
    Use our trademarks, logos, or branding in any manner that suggests endorsement or affiliation without authorization
    Claim ownership of, resell, or sublicense any of our materials or content
    Any unauthorized use of our intellectual property may result in legal action.

    11. Payments, Refunds, and Billing
    Payments for memberships, programs, events, or products must be completed as stated at checkout or enrollment. All fees are quoted in U.S. dollars unless otherwise specified.

    Paid memberships are billed annually and are non-refundable once processed, except as required by applicable law.
    Refund policies for specific programs or events, if offered, will be stated on the applicable purchase or registration page.
    LuckyOne Global LLC reserves the right to modify pricing for future billing periods with reasonable advance notice.
    Failure to make timely payments may result in suspension or termination of access to Services.
    12. Confidentiality
    In the course of your membership or participation, you may receive or have access to confidential information, including but not limited to business strategies, member information, partner details, financial data, and proprietary methods. You agree to:

    Keep all confidential information strictly private and not disclose it to any third party without prior written consent from LuckyOne Global
    Use confidential information only for purposes directly related to your participation in LuckyOne Global
    Return or destroy all confidential materials upon termination of your membership or participation
    This confidentiality obligation survives the termination of your membership or these Terms.

    13. Privacy
    Your privacy matters to us. Our Privacy Policy, available at luckyoneglobal.com/privacy-policy, explains how we collect, use, store, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy, which is incorporated by reference into these Terms.

    14. Termination
    We may suspend or terminate your access to our Services, in whole or in part, at any time and for any reason, including but not limited to:

    Violations of these Terms or any supplemental agreements
    Unethical, harmful, or disruptive behavior
    Misuse of brand, data, intellectual property, or resources
    Failure to maintain eligibility requirements (including active USANA status where applicable)
    Non-payment of membership fees
    Termination may occur with or without prior notice. Upon termination, your right to access and use our Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution) shall remain in full force and effect.

    15. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUCKYONE GLOBAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

    IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO LUCKYONE GLOBAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

    16. Indemnification
    You agree to indemnify, defend, and hold harmless LuckyOne Global LLC, its officers, directors, employees, agents, partners, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

    Your use of our Services
    Your violation of these Terms or any applicable law or regulation
    Your content, conduct, or representation of LuckyOne Global
    Any third-party claim resulting from your actions or omissions in connection with our Services
    This indemnification obligation survives the termination of your membership and these Terms.

    17. Dispute Resolution
    17.1 Informal Resolution
    Before initiating any formal dispute proceeding, you agree to first contact LuckyOne Global at [email protected] to attempt to resolve the dispute informally. Both parties agree to negotiate in good faith for a period of at least thirty (30) days before pursuing formal resolution.

    17.2 Binding Arbitration
    If the dispute cannot be resolved informally, you and LuckyOne Global LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), conducted in Harris County, Texas. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

    17.3 Class Action Waiver
    YOU AND LUCKYONE GLOBAL LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

    17.4 Exceptions
    Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights, confidential information, or to prevent irreparable harm.

    18. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. To the extent any dispute is permitted to be brought in court, you consent to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

    In interpreting these Terms, both parties acknowledge that the Terms have been mutually agreed to, and accordingly waive the protections of any law or statute that provides that ambiguities in a contract should be interpreted against the drafter. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

    19. Modifications
    We may update, modify, or revise these Terms at any time. Material changes will be communicated through our website, email notification, or other reasonable means. The “Last Updated” date at the top of these Terms will reflect the most recent revision.

    Your continued use of our Services after any modifications constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue use of our Services.

    20. Entire Agreement
    These Terms, together with our Privacy Policy, any applicable membership agreement, the Service Exchange Program agreement, and any other policies or agreements referenced herein, constitute the entire agreement between you and LuckyOne Global LLC with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, proposals, negotiations, and agreements, whether oral or written, between you and LuckyOne Global.

    No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. The failure of LuckyOne Global to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

    21. Severability
    If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.

    22. Assignment
    You may not assign or transfer your rights or obligations under these Terms without the prior written consent of LuckyOne Global LLC. LuckyOne Global may assign or transfer these Terms, in whole or in part, without restriction and without notice to you.

    23. Force Majeure
    LuckyOne Global LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, power failures, internet disruptions, or other force majeure events.
